GENERAL TERMS AND CONDITIONS (GTC)
Omega MES Cloud Manufacturing Execution System

These General Terms and Conditions (“GTC”) govern the use of the Omega MES cloud-based Manufacturing Execution System software and related services provided by DDCS Szoftver Ltd.
1. Service Provider Information

2. Definitions
- Provider means DDCS Szoftver Ltd.
- Customer means the business entity purchasing or using the Omega MES service.
- Service means the Omega MES cloud-based software platform and related services.
- Subscription means the paid or free access package selected by the Customer.
- User means any employee or authorized representative of the Customer accessing the Service.
3. Scope of the Service
Omega MES is a cloud-based Manufacturing Execution System (MES) designed primarily for manufacturing small and medium-sized enterprises (SMEs).
The system may include, but is not limited to:
- Production tracking
- Shop floor data collection
- OEE monitoring
- Production planning support
- Warehouse management
- Material management
- Quality and traceability features
- Digital documentation
- KPI monitoring
- Mobile manufacturing functions
- API and ERP integration capabilities
- Training and educational materials
The Provider reserves the right to modify, improve, extend, or discontinue specific functionalities at any time.
4. Business Customers Only
Omega MES is intended exclusively for business customers (B2B).
By registering or purchasing the Service, the Customer confirms that:
- it acts within the scope of business activity;
- the provided company and VAT information is accurate;
- consumer protection regulations applicable to private consumers do not apply.
5. Registration and Account
The Customer must provide accurate and complete registration information.
The Customer is responsible for:
- maintaining the confidentiality of login credentials;
- activities performed under its account;
- ensuring authorized access only.
The Provider may suspend or terminate accounts containing false or misleading information.
6. Subscription and Fees
The Service is available under monthly or annual subscription plans.
The applicable pricing is published on the Provider’s website.
Subscription fees:
- are payable in advance;
- may renew automatically unless cancelled;
- may be modified by the Provider with prior notice.
Failure to pay may result in suspension or termination of access.
7. Free Plans and Trial Access
The Provider may offer free plans, demo systems, or trial access.
These are provided:
- without warranty;
- with limited functionality;
- subject to modification or termination at any time.
8. Payment and Invoicing
Payments are processed through third-party payment providers such as Stripe.
Invoices are issued electronically.
For EU business customers:
- valid VAT numbers may qualify for reverse-charge invoicing;
- VAT handling follows applicable EU regulations.
The Customer is responsible for the accuracy of billing and VAT information.
9. Customer Obligations
The Customer agrees:
- to use the Service lawfully;
- not to interfere with system security or operation;
- not to attempt unauthorized access;
- not to reverse engineer or copy the software;
- not to use the Service for illegal purposes.
The Customer remains solely responsible for:
- production data entered into the system;
- operational decisions made based on the software;
- compliance with industry regulations.
10. Availability and Support
The Provider aims to maintain high service availability but does not guarantee uninterrupted operation.
Planned maintenance, updates, hosting outages, internet disruptions, or third-party failures may temporarily affect availability.
Support services may vary depending on the selected subscription package.
11. Hosting and Infrastructure
The Service may be hosted using third-party infrastructure providers including:
- Heroku (Salesforce Inc.)
- cloud infrastructure partners
- CDN and email service providers
The Provider may change infrastructure providers without prior notice if necessary for operational reasons.
2. Data Protection and GDPR
The Provider processes personal data in accordance with:
- the General Data Protection Regulation (GDPR);
- applicable Hungarian and EU legislation.

The Customer acknowledges that:
- it acts as Data Controller regarding its own operational data;
- the Provider may act as Data Processor where applicable.
Third-party service providers may include:
- HubSpot
- Sender.net / Sende
- Stripe
- Bluehost
- Heroku
The Customer is responsible for ensuring lawful processing of employee and operational data uploaded into the system.
13. Intellectual Property
All intellectual property rights related to Omega MES remain the exclusive property of the Provider.
The Customer receives a non-exclusive, non-transferable, limited right to use the Service during the active subscription period.
The Customer may not:
- copy or resell the software;
- create derivative works;
- sublicense the system;
- remove branding or copyright notices.
14. Integrations and Third-Party Services
Omega MES may integrate with:
- ERP systems;
- APIs;
- external databases;
- third-party applications.
The Provider does not guarantee compatibility with every external system or future third-party changes.
The Customer is responsible for maintaining required external licenses and integrations.
15. Limitation of Liability
To the maximum extent permitted by law:
- the Service is provided “as is” and “as available”;
- the Provider shall not be liable for indirect or consequential damages;
- the Provider shall not be liable for production loss, lost profit, lost data, downtime, or business interruption.
The Provider’s total liability shall not exceed the subscription fees paid by the Customer during the previous 12 months.
16. Security
The Provider applies commercially reasonable technical and organizational security measures.
However, the Customer acknowledges that:
- no online system is completely secure;
- internet-based services may be subject to cyber risks.
The Customer is responsible for:
- password security;
- device security;
- internal user management.
17. Backup and Data Retention
The Provider may perform automated backups but does not guarantee permanent data retention.
The Customer is encouraged to maintain independent backups of critical business information.
After account termination, data may be deleted after a reasonable retention period.
18. Termination
The Customer may terminate the subscription according to the applicable billing cycle.
The Provider may suspend or terminate access immediately if:
- the Customer breaches these GTC;
- payment obligations are not fulfilled;
- unlawful activity is detected.
Termination does not relieve the Customer from outstanding payment obligations.
19. Force Majeure
The Provider shall not be liable for delays or failures caused by events beyond reasonable control, including:
- natural disasters;
- cyberattacks;
- internet outages;
- war;
- governmental actions;
- infrastructure failures.
20. Modifications to the Terms
The Provider may update these GTC from time to time.
Updated versions become effective upon publication on the website.
Continued use of the Service constitutes acceptance of the updated terms.
21. Governing Law and Jurisdiction
These GTC shall be governed by the laws of Hungary and applicable European Union regulations.
Any disputes arising from these terms shall fall under the jurisdiction of the competent Hungarian courts.
